NSITES LICENSE AGREEMENT

This Software License Agreement ("Agreement") is entered by and between Nsites, LLC, a Georgia limited liability company with its principal office located at 3245 Peachtree Parkway, Suwanee, GA 30024 ("Licensor"), and the "Licensee".

GRANT OF LICENSE Subject to the terms of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, and revocable license to access and use the proprietary software application "Nsites" ("Software") solely for Licensee's internal business purposes. The Software will connect directly to Licensee's accounting systems and ERPs,using credentials provided by the Licensee.

TERM AND TERMINATION This Agreement commences on the Effective Date and shall continue for a term of one (1) year unless terminated earlier as provided herein. Either party may terminate this Agreement by providing ninety (90) days' written notice to the other party.

LICENSE FEES Licensee agrees to pay the fees specified which may be updated upon mutual agreement in writing.

LICENSEE OBLIGATIONS

Licensee shall: Provide accurate and updated credentials for connecting to its accounting systems and ERPs. Use the Software only as authorized in this Agreement. Refrain from copying, modifying, or distributing the Software.

CONFIDENTIALITY Both parties agree to maintain the confidentiality of proprietary information disclosed under this Agreement, including but not limited to the Software and its related documentation.

LIMITATION OF LIABILITY Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to Licensee’s use of the Software.

GOVERNING LAW This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of laws principles.

ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein.
